Terms and Conditions

These Terms & Conditions (the “Terms”) govern your access to and use of Idle Pilot (“Idle Pilot,” “we,” “our,” “us”) and the idlepilot.com website, dashboard, APIs, and related services (collectively, the “Service”).
By creating an account, starting a free trial, or otherwise using the Service, you agree to be bound by these Terms.
If you do not accept every part of the Terms, do not use the Service.


1. The Service in One Line

Idle Pilot sends presence‐only heartbeats to Slack so that your status dot stays green according to the schedule you set.
No apps, bots, or admin scopes are installed.


2. Eligibility

You must:

  • be at least 18 years old (or the age of majority in your jurisdiction);
  • have authority to bind any company or organization you sign up on behalf of;
  • not be prohibited from using Slack’s API under applicable law or Slack’s own terms.

3. Account & Security

  • Accuracy. You promise all information you provide is true and kept current.
  • Safeguards. You are responsible for restricting access to your account and for any activity taken through it.

4. Subscriptions, Trials & Billing

  • Payments. Processed via Stripe. We never see your full payment details.
  • Cancellation. You may cancel at any time in the dashboard. Coverage continues through the current paid period; no partial refunds.
  • Failure to Pay. We may suspend or terminate Service if a payment fails.

5. Acceptable Use

You agree not to:

  1. use the Service in violation of any law;
  2. interfere with the Service’s security or integrity;
  3. reverse-engineer or copy any Service component;
  4. resell or white-label the Service without our written consent.

6. No Affiliation With Slack

Idle Pilot is independent and not affiliated, associated, authorized, endorsed by, or in any way officially connected with Slack Technologies, LLC. “Slack” and related marks are trademarks of their respective owners.


7. Intellectual Property

All Idle Pilot software, logos, and content are owned by Idle Pilot or its licensors. Your rights to use them are limited to what these Terms allow.


8. Termination

  • By You. Delete your account at any time.
  • By Us. We may suspend or terminate for a material breach, non-payment, or to comply with law.
  • Effect. Sections 6–12 survive termination.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT SLACK WILL NOT CHANGE ITS API.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDLE PILOT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, EVEN IF WE KNEW SUCH DAMAGES WERE POSSIBLE. OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF (A) USD $10 OR (B) THE AMOUNTS YOU PAID US IN THE 3 MONTHS BEFORE THE CLAIM.


11. Indemnification

You will defend and indemnify Idle Pilot against any claim arising from your (a) misuse of the Service, (b) breach of these Terms, or (c) violation of law or third-party rights.


12. Governing Law & Disputes

  • Law. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.
  • Forum. All disputes will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, USA.
  • Waiver of Class Actions. You may only resolve disputes with us on an individual basis; class actions are not permitted.

13. Changes to Terms

We may update these Terms by posting a new version and emailing the address on file. Changes become effective 30 days after posting. Continued use after that means you accept the new Terms.
